End-User License Agreement

Last updated: 14 October 2026

This agreement is between you (the company or person using LogisPics) and LogisPics LLC, the operator of LogisPics. By creating an account, connecting a spreadsheet or accounting system, or using any part of the app, you agree to these terms. If you are accepting on behalf of a company, you confirm you have authority to bind that company.

1. What LogisPics is

LogisPics is a container and chassis tracking tool for intermodal yards, drayage companies and transfer yards. A photo of an empty container becomes a row on a shared board; the row is updated as the unit is loaded, rail billed and picked up, and the board can be mirrored to a spreadsheet you already use. It is provided as a service you use over the internet — you do not install or own the software.

2. Your license

While your subscription is active, LogisPics LLC gives you a limited, non-exclusive, non-transferable, revocable license to access and use LogisPics for your own business operations, for the number of users and companies covered by your plan.

You may:

  • create accounts for your own staff, drivers and customers
  • connect your own Google Sheets, Microsoft Excel, QuickBooks and email accounts
  • export your own data at any time

You may not:

  • resell, sublicense, rent or white-label the app without written permission
  • reverse engineer, decompile or copy the software, except where law allows it
  • scrape, bulk-download or automate access to the service other than through features built into it
  • use another company's login, or share credentials outside your organization
  • interfere with the service, its security, or its rate limits

3. Accounts and workspaces

Each company that signs up gets its own isolated workspace. Users in one workspace cannot see loads, photos, prices or settings belonging to another company. The person who signs up first becomes the company owner and can invite staff, drivers and customer users, and decide what each role can see.

You are responsible for the accuracy of the information in your workspace and for the activity of accounts you create. Tell us quickly if you believe an account has been used without permission.

4. Your data stays yours

You keep all rights to the photos, container numbers, chassis dates, driver names, prices and other records you put into LogisPics. We use them only to run the features you ask for: reading details off a photo, keeping the board and spreadsheet in step, producing billing exports, and showing you status.

We do not sell your data. We do not use your photos or load records to train models for other customers. You can ask us to delete your workspace and its data; we will confirm when it is done, except where we must keep a copy for legal or accounting reasons.

5. Third-party services you connect

LogisPics can talk to services we do not control, including Google Sheets and Google Drive, Microsoft Excel and OneDrive, Intuit QuickBooks, and the photo-reading and mapping services behind the app. When you connect one of them, you are also agreeing to that provider's terms, and that provider's own privacy practices apply to what it stores.

Some features need the spreadsheet to be shared with the app's service account, or need the provider to approve our integration. If a provider changes, limits or withdraws access, the matching feature may stop working; we will tell you and adjust the app where we can.

6. Fees and trial use

LogisPics is offered on a subscription basis. Any price shown at sign-up or on your billing screen is the price that applies. Unless we say otherwise, a trial period can be ended at any time and features may change between trial and paid use.

You can cancel at any time and keep access until the end of the period you have paid for. Fees already paid are not refunded early unless the law or a promise from us requires it. We may change prices with notice before the change takes effect.

7. Acceptable use

Do not use LogisPics to store unlawful material, to impersonate another company, to send misleading invoices, or to upload content you have no right to share. Keep the material you photograph — including other people's paperwork — in a way that respects their confidentiality.

8. Uptime, changes and support

The app is provided "as is". We work to keep it available and to fix problems promptly, but we do not promise uninterrupted or error-free service. Features can be added, changed or retired as the product develops. We are not responsible for downtime or data loss caused by a third-party provider you connected.

9. Ending your use

You can stop using LogisPics at any time. We may suspend or close a workspace that breaches this agreement, that puts other customers at risk, or where payment is not made. On closure you may ask for your records in spreadsheet form before deletion.

10. Disclaimer and limit of liability

To the fullest extent the law allows, LogisPics is provided without warranties of any kind, and LogisPics LLC is not liable for indirect, incidental or consequential losses, or for lost profit, lost data, missed billing or demurrage that result from using or being unable to use the app. Where liability cannot be excluded, it is limited to the fees you paid in the three months before the problem arose.

The board and its spreadsheet mirror are a working aid, not a legal record of custody. Always confirm container status, chassis charges and invoice amounts against your own paperwork and your accounting system before you bill or release equipment.

11. Governing law and changes

This agreement is governed by the laws of the State of Missouri, United States, without regard to conflict-of-law rules. We may update it and will show the revision date at the top of this page; continuing to use the app after an update means you accept it.
